Welcome to VirtueFocus. These Terms of Service ("Terms") govern your use of the VirtueFocus mobile application ("App") operated by Veriris LLC ("Veriris," "we," "us," or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the App.

1. Definitions

  • App: The VirtueFocus mobile application available on iOS and Android platforms.
  • Content: All text, graphics, images, information, and other materials displayed through the App.
  • User Data: Information you create within the App, including virtue tracking marks, journal entries, and settings.
  • Purchase Options: The available versions of the App, including free (ad-supported) and ad-free (one-time purchase).

2. Eligibility & Acceptance

Age Requirements

You must be at least 13 years old to use the App (or 16 years old if you reside in the European Economic Area or United Kingdom). If you are under 18, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

Acceptance of Terms

By using the App, you confirm that you meet these eligibility requirements and agree to comply with these Terms. We may update these Terms from time to time. For material changes (such as changes to payment terms, dispute resolution, or warranties), we will provide notice through the App before changes take effect. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.

3. Description of Service

VirtueFocus is a personal development application inspired by Benjamin Franklin's virtue-tracking framework. The App enables you to:

  • Track daily progress on virtues of your choosing
  • Write morning intentions and evening reflections
  • View progress statistics and insights
  • Set reminders for daily practice

Important Notice: VirtueFocus is designed for personal self-reflection and goal tracking. It is not a medical, mental health, or healthcare application. It is not intended to diagnose, treat, cure, or prevent any medical or psychological condition. If you are experiencing emotional distress or mental health concerns, please seek help from a qualified healthcare professional.

4. Local Data Storage

Your Data Stays on Your Device

VirtueFocus is designed with privacy as a core principle. Your virtue tracking data, journal entries, and preferences are stored locally on your device and are never transmitted to our servers. We cannot access this data.

Your Responsibility

You are responsible for maintaining backups of your User Data. We are not liable for any loss of data due to device failure, app deletion, or other circumstances. Data export features are provided for your convenience.

5. Purchases

Available Options

The App is available in a free, ad-supported version. You may remove ads permanently through a one-time in-app purchase.

Payment Processing

All purchases are processed by your app store provider (Apple App Store or Google Play Store). By making a purchase, you agree to the app store's payment terms.

Refunds

Refunds are subject to the applicable app store's refund policy. We do not directly process payments or refunds.

Price Changes

We reserve the right to change pricing for future purchases.

6. Data Collection & Third-Party Services

Information Collected

When you use the App, our service providers may collect device information, usage data, and network information (such as IP address) for analytics, crash reporting, and advertising purposes. For complete details, please see our Privacy Policy.

Third-Party Services

We use third-party service providers, including Google, for analytics, crash reporting, and advertising. These services operate according to their respective privacy policies.

Advertising

The free version of the App displays advertisements. You can remove all advertising by purchasing the ad-free version.

7. Intellectual Property

Our Rights

The App and all Content, features, and functionality (excluding User Data) are owned by Veriris and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

Historical Content

VirtueFocus incorporates Benjamin Franklin's virtue-tracking framework, which is in the public domain. Our adaptation, presentation, and implementation of this framework within the App remain our intellectual property.

Your Rights to User Data

You retain all rights to User Data you create within the App. This data is stored locally on your device and is not transmitted to us.

8. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with or disrupt the App's functionality
  • Reverse engineer, decompile, or disassemble any part of the App
  • Use the App in any manner that could damage or impair the App

9. Disclaimers

"As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Healthcare Advice

The App provides tools for personal self-reflection and does not provide medical, psychological, or professional advice. Any information provided through the App is for general informational purposes only. Always seek the advice of qualified professionals for medical or mental health concerns.

Historical Context

The virtue framework presented is inspired by Benjamin Franklin's writings. We do not endorse or excuse all of Franklin's historical views, writings, or actions. We encourage you to adapt the virtues to your own values and modern ethical standards.

Results May Vary

We make no guarantees regarding results from using the App. Personal development outcomes depend on many factors beyond the App's control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIRIS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Veriris and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any third-party rights.

12. Termination

By You

You may stop using the App at any time. You may delete your User Data through the App settings and uninstall the App from your device.

By Us

We reserve the right to suspend or terminate your access to the App at any time for violation of these Terms or for any other reason at our sole discretion.

Effect of Termination

Upon termination, your right to use the App will cease immediately. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

Binding Arbitration

Any dispute arising out of or relating to these Terms or the App shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Spokane County, Washington, or another mutually agreed location.

Class Action Waiver

YOU AND VERIRIS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to support@veriris.com within 30 days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out.

Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Veriris regarding your use of the App.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15. Platform-Specific Terms

The following additional terms apply based on where you downloaded the VirtueFocus application:

iOS App (Apple App Store)

If you downloaded VirtueFocus from the Apple App Store, the following terms apply:

Acknowledgement

These Terms are concluded between you and Veriris LLC only, and not with Apple, Inc. ("Apple"). Veriris, not Apple, is solely responsible for the VirtueFocus application and its content. These Terms may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions.

Scope of License

Subject to these Terms, Veriris grants you a limited, non-transferable license to use the VirtueFocus application on any Apple-branded products that you own or control and as permitted by the App Store Usage Rules. The VirtueFocus application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

Maintenance and Support

Veriris is solely responsible for providing any maintenance and support services for the VirtueFocus application, as specified in these Terms or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the VirtueFocus application.

Warranty and Refunds

Veriris is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed herein. In the event the VirtueFocus application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the VirtueFocus application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Veriris's sole responsibility.

Product Claims

You acknowledge that Veriris, not Apple, is responsible for addressing any claims by you or any third party relating to the VirtueFocus application or your possession and/or use of the application, including, but not limited to: (i) product liability claims; (ii) any claim that the VirtueFocus application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property Claims

You acknowledge that, in the event of any third-party claim that the VirtueFocus application or your possession and use of the application infringes that third party's intellectual property rights, Veriris, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties, including the Treasury Department's Specially Designated Nationals List or the Commerce Department's Denied Persons List or Entity List.

Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms with respect to the iOS application, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

Third-Party Terms of Agreement

When using the VirtueFocus application, you must comply with applicable third-party terms of agreement, including but not limited to your wireless data service agreement.

Android App (Google Play Store)

If you downloaded VirtueFocus from the Google Play Store, the following terms apply:

Distribution and License

The VirtueFocus Android application is distributed through Google Play Store. Google LLC acts as an agent to make the application available but does not undertake an obligation to monitor the application or its content. Upon download, you receive a non-exclusive, worldwide, and perpetual license to use the VirtueFocus application on your Android devices.

Family Sharing

You may share VirtueFocus with other family members in your Google Play family group, subject to Google Play's limitations and policies.

Refunds

Google may issue refunds to users in accordance with Google Play refund policies. All refund requests for purchases made through Google Play must be directed to Google. Veriris is not responsible for processing refunds for purchases made through Google Play. Google may deduct any refund amounts from payments owed to Veriris.

Support Obligations

Veriris is solely responsible for providing customer support for the VirtueFocus application. We will respond to customer support inquiries within 3 business days.

Product Removal and Refunds

If VirtueFocus is removed from Google Play due to a legal takedown and you purchased the application within one year (or longer as required by local consumer law) before the date of takedown, Veriris will refund to you all amounts paid for the application. Upon such removal, you will no longer have the right or ability to reinstall the affected application.

Google's Disclaimer

Google Play is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. Google expressly disclaims all warranties and conditions of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Google will not be responsible for, and will not have any liability whatsoever under, these Terms or your use of VirtueFocus.

Google's Limitation of Liability

Google, its subsidiaries and affiliates, and its licensors will not be liable under any theory of liability for any indirect, incidental, special, consequential, or exemplary damages that may be incurred by you, including any loss of data, whether or not Google or its representatives have been advised of or should have been aware of the possibility of any such losses arising.

EULA Relationship

To the extent that these Terms conflict with the Google Play Developer Distribution Agreement, the Developer Distribution Agreement will supersede these Terms. Google is not responsible for and has no liability under these Terms.
